These General Terms and Conditions (Terms) govern contracts between Balogh Tamás Szilveszter e.v. (sole trader, Hungary) (registration no.: 58271179; the Provider) and the Client using the Provider’s services. Please read them before accepting a quote – the practical details (what, for how much, by when) are always set out in the individual quote; this document sets the framework. This English version is a translation; in case of any discrepancy the Hungarian version prevails.

2. Scope and availability of these Terms
2.1. These Terms apply to contracts between the Provider and the Client for building websites, booking systems, custom software (such as a CRM or a client portal), automations and integrations, for fixing existing websites, and for hosting and maintenance; and to the use of the free tools on bthamas.hu (audit, Price calculator, consultation).
2.2. The contract consists of the individual quote and these Terms. Where the quote differs from these Terms, the quote prevails.
2.3. These Terms are permanently available on the website and can be saved as a PDF or printed with the button on the page. When a quote is accepted, the Provider records the version then in force with the contract; later changes do not affect contracts already concluded, except monthly services under section 16.4.
2.4. The language of the contract is Hungarian; for a quote issued in English, English.
2.5. The Provider has not subscribed to any code of conduct.
3. Definitions
- Client
- the natural or legal person, or organisation without legal personality, that accepts the Provider’s quote.

- Handover
- the moment the Provider makes the finished Deliverable available to the Client (launches it or hands it over for review).

- hosting, maintenance or support marked with a monthly fee in the quote.
- In writing
- on paper or by email.
4. Free tools and consultation
4.1. The audit, the Price calculator and the 20-minute consultation are free; using them creates no obligation to pay or to enter into a contract.
4.2. The audit is an automated measurement of a publicly available website (Google Lighthouse and the Provider’s own checks). The result is for information only, may vary with measurement conditions, and is not guaranteed to reveal every issue.
4.3. Prices shown by the Price calculator and the audit are estimates and do not constitute an offer. Only an individual quote under section 5.1 is an offer.
4.4. The tools must not be misused – for example for mass automated queries, to load someone else’s systems, or to examine sites with unlawful content. The Provider may restrict or block misuse.
5. How the contract is made
5.1. Quote. Following the consultation or the Client’s request, the Provider sends an individual quote by email. It sets out the scope of the work (itemised), the fee, any monthly fee and discount, the timeline, the payment terms and the period of validity. The quote binds the Provider until it expires; if a newer quote is sent for the same work, only the newer one can be accepted.
5.2. Technical steps of the electronic contract.
- In the email containing the quote, the Client clicks “Accept the quote”. This opens the quote’s page on bthamas.hu, reached through an individual secret link – opening the link is not yet acceptance.
- On the page the Client reviews the full content of the quote and may add a note.
- The Client ticks the box confirming they have read and accept these Terms and have read the Privacy policy.
- The Client clicks “Accept the quote – with obligation to pay”. This concludes the contract.
A quote may also be accepted by email or another written statement; in that case these Terms still apply if the quote refers to them.
5.3. Correcting input errors. Before acceptance the full quote is visible and the note can be edited freely. If the Client finds an error in the quote (such as a wrong item or company detail), instead of accepting they can ask for a correction by replying, and the Provider sends a corrected quote. Errors noticed after acceptance must be reported by email.
5.4. Confirmation. The Provider confirms receipt of the acceptance by email without delay; the confirmation contains the essential details of the accepted quote. If the confirmation does not arrive within 48 hours of acceptance, the Client is released from the obligations arising from the acceptance.
5.5. Filing. The contract counts as a contract concluded in writing. The Provider files electronically the snapshot of the quote, the time of acceptance and the accepted version of these Terms; the contract remains available through the quote’s individual link and later on request.
6. How the work runs
6.1. The scope of work is set by the quote. Work not included in the quote is only done on the basis of a prior written agreement, for a separate fee, which the Provider states before starting.
6.2. Design phase. Where the quote includes one (typically for systems and new websites), the Provider prepares the Blueprint and presents it to the Client. The design phase is free of charge. If the Blueprint does not convince the Client, either party may end the contract before approval by a written statement, without costs or damages – in that case neither party owes the other anything.
6.3. Build. The build starts after the Blueprint is approved (for work without a design phase, after acceptance) and the first instalment is paid. The Provider reports on progress regularly – typically weekly, via a live demo link.
6.4. Timeline. The timeline in the quote runs from the start of the build and assumes the Client’s cooperation under section 6.5. Delays caused by the Client and changes requested by the Client extend it proportionately.
6.5. Client cooperation. The Client provides the necessary content (texts, images, logo, prices) and access (domain, hosting, existing systems) in good time and answers questions within a reasonable time – typically within 5 working days. The Client warrants that they are entitled to use the content they provide and that it does not infringe the rights of third parties.
6.6. Handover and acceptance. The Provider notifies the Client that the Deliverable is ready and hands it over. The Client reviews it within 8 working days and either accepts it or reports defects in writing, itemised; acceptance takes place once the reported defects are fixed. If the Client reports no defects within this period, or starts using the Deliverable live, handover is deemed complete.
6.7. Subcontractors. The Provider may use subcontractors, for whose conduct the Provider is liable as if acting personally.
6.8. Third-party services. Hosting, domain, email, payment and SMS services, Google accounts and similar services are – unless the quote says otherwise – set up in the Client’s name under the Client’s own contract; their fees are borne by the Client and their own terms apply. The Provider is not liable for their operation, outages or price changes.
7. Fees, invoicing and payment
7.1. The fee is the fixed amount in the quote and does not change during the work as long as the scope stays as quoted.
7.2. The Provider is exempt from VAT under the Hungarian small business scheme: invoices carry no VAT, and the fee in the quote is the total amount payable.
7.3. The fee is payable in two instalments against invoices: 50% at the start of the build (for work starting with a design phase, on approval of the Blueprint) and 50% at handover. Unless the quote says otherwise, invoices are payable by bank transfer within 8 days of issue. Invoices may be issued and sent electronically.
7.4. In contracts between businesses, late payment entitles the Provider to statutory late-payment interest under the Hungarian Civil Code and to the fixed recovery fee under Act IX of 2016. In case of late payment – after a written reminder – the Provider may suspend work until payment; deadlines are extended accordingly.
7.5. Any discount in the quote (such as a partner discount) applies subject to the condition stated there.
8. Monthly services
8.1. Where the quote includes a monthly fee, the monthly service starts after handover and is invoiced monthly. Its content is set by the quote (for example hosting, backups, updates, monitoring, small monthly changes).
8.2. Monthly services run for an indefinite period; either party may terminate them in writing with 30 days’ notice to the end of a month.
8.3. Work beyond the monthly allowance is done after prior agreement, for a separate fee.
8.4. The Provider may change the monthly fee at most once a year, notifying it in writing at least 30 days in advance. If the Client does not accept the change, they may terminate free of charge before it takes effect.
8.5. When a monthly service ends, the Provider hands over, at the Client’s request, the system’s source code, data and access (unless already held by the Client) and helps with the move to a reasonable extent.
9. Intellectual property and references
9.1. Upon payment of the full fee, the Provider transfers to the Client the economic rights in the software (source code) made specifically for the Client (Section 58(3) of Hungarian Act LXXVI of 1999 on Copyright).
9.2. For other copyright works made for the Client (such as the graphic design and texts), upon payment of the full fee the Provider grants an exclusive licence unlimited in time and territory, transferable to third parties and including the right to adapt.
9.3. Exceptions: (a) open-source components (frameworks, libraries) are subject to their own licences; (b) elements licensed from third parties (fonts, images, plugins) are subject to their licences; (c) for the Provider’s general tools, code snippets and know-how used across projects, the Client receives a non-exclusive licence unlimited in time to use and further develop the Deliverable.
9.4. Until the full fee is paid, the Provider may withhold the transfer or licence under sections 9.1–9.2 and the handover of the source code.
9.5. The domain, hosting and client data are in the Client’s name; the Provider hands over access at the end of the work or on request.
9.6. References. The Provider may show the finished work – with the Client’s name, a screenshot and a link – as a reference on its own website and in quotes, unless the Client prohibits this in writing. Confidential data (such as the contents of an internal system) is never shown.
10. Fixes and warranty
10.1. Free fixes. For 30 days after handover the Provider fixes free of charge every defect that stops the Deliverable from working as quoted and as in the approved design. This commitment does not limit the Client’s statutory rights.
10.2. Statutory warranty. The Client is entitled to the warranty rights under the Hungarian Civil Code. A Client that is a business may enforce warranty claims within 1 year of handover; for consumers see section 15.6.
10.3. The following are not defects and are not covered by free fixes: changes made to the Deliverable by the Client or third parties; malfunctions caused by post-handover changes in third-party services (hosting, browsers, operating systems, external services); improper use; and new requirements or features.
10.4. Defects must be reported by email with a description (ideally with a screenshot). The Provider responds within 2 working days and fixes the defect within a reasonable time appropriate to its severity.
11. Liability
11.1. The Provider is liable for damage caused by breach of contract in accordance with the Hungarian Civil Code.
11.2. Limitation of liability between businesses (an unusual term, highlighted separately before acceptance – Section 6:78(2) of the Civil Code): towards a Client that is a business, the Provider’s liability under a given contract is limited to the fees actually paid under it (for monthly services, to the fees for the 3 months preceding the event causing the damage), and does not extend to lost profits, indirect damage, or data loss occurring in a system operated by the Client or a third party.
11.3. This limitation does not apply to breaches committed intentionally or with gross negligence, or causing harm to life, physical integrity or health (Section 6:152 of the Civil Code), and does not apply to contracts with consumers.
11.4. The Provider is not liable for faults or outages of third-party services, for the lawfulness of content provided by the Client, or for delay or damage caused by unavoidable circumstances beyond its control (force majeure).
11.5. The audit, the Price calculator and the free consultation are for information only; except for the cases in section 11.3, the Provider is not liable for decisions made on their basis.
12. Confidentiality and data protection
12.1. The parties keep confidential any business secrets and confidential information learned during the performance of the contract, also after it ends.
12.2. The Provider processes personal data in accordance with the Privacy policy.
12.3. If, during performance (development, hosting, maintenance, fixes, data migration), the Provider accesses personal data controlled by the Client, the Provider acts as a processor; Annex 3 (Data processing terms) applies and forms part of the contract.
13. Termination
13.1. The contract ends on performance (handover and payment of the fee; for monthly services, under section 8), by mutual agreement, under section 6.2 before approval of the Blueprint, or by termination or withdrawal as follows.
13.2. Either party may terminate the contract with immediate effect if the other party seriously breaches a material obligation and fails to remedy the breach within 8 days of a written notice.
13.3. The Client may withdraw from the contract at any time before the Deliverable is finished; in that case the Client pays a proportionate fee for the work done so far – offset against instalments already paid – and compensates the Provider’s proven resulting damage.
13.4. On termination the Provider hands over to the Client the Deliverable completed so far – in proportion to the work paid for – and the Client’s data.
14. Complaints
14.1. The Client may submit a complaint about the service by email (bthamas.dev@gmail.com), by phone (+36 30 411 8340) or by post (9012 Győr, Galgóczi Erzsébet utca 20–22. B lph. fsz. 2.).
14.2. The Provider investigates the complaint and replies in writing, on the merits, within 30 days, giving reasons for any rejection. An oral complaint that cannot be resolved immediately is recorded in minutes. Complaints and replies are kept for 3 years.
14.3. If the Provider rejects a complaint, a consumer may turn to the bodies listed in section 15.7. In conciliation body proceedings, civil organisations, church legal entities, condominiums and housing cooperatives (acting outside their economic activity) and – in the cases set out in section 2 of the Hungarian Consumer Protection Act (Act CLV of 1997) – micro, small and medium-sized enterprises are treated as consumers too.
15. Special provisions for consumers
15.1. The Provider’s services are primarily intended for businesses. If the Client is a consumer, the mandatory provisions of consumer protection law – in particular Hungarian Government Decree 45/2014 (II. 26.) on contracts between consumers and businesses – apply; provisions of these Terms that deviate to the consumer’s detriment (in particular sections 6.6, 7.4 and 11.2) do not apply to consumers.
15.2. Right of withdrawal. A consumer may withdraw from (or terminate) the contract without giving reasons within 14 days of its conclusion, by sending the Provider an unequivocal statement (for example by email to bthamas.dev@gmail.com or by post to 9012 Győr, Galgóczi Erzsébet utca 20–22. B lph. fsz. 2.); the model form in Annex 1 may be used. The deadline is met if the statement is sent before it expires.
15.3. Effects of withdrawal. The Provider refunds all payments made by the consumer without delay, and at the latest within 14 days of learning of the withdrawal, using the original means of payment (bank transfer).
15.4. Starting within the withdrawal period. For consumer Clients the Provider starts work – including the design phase – only after the withdrawal period has expired, unless the consumer expressly requests an earlier start in writing. In that case, if the consumer terminates after performance has begun, they pay a proportionate fee for the services provided until the termination is communicated.
15.5. Loss of the right of withdrawal. The consumer loses the right of withdrawal once the Provider has fully performed the service, if performance began with the consumer’s express prior consent and acknowledgement that the right is lost on full performance.
15.6. Statutory warranty. In case of defective performance the consumer may primarily request repair; if that is impossible or disproportionate, a price reduction, or – except for minor defects – withdrawal from the contract. Defects must be reported without delay after discovery; warranty claims expire two years after performance.
15.7. Enforcement. If a complaint cannot be settled, the consumer may turn to the conciliation body competent for their place of residence or stay (contact details in Annex 2), to the consumer protection authority (the county government office for their place of residence, or the Hungarian National Trade and Consumer Protection Authority – nkfh.gov.hu), or to the courts. The Provider has not made a general declaration of submission and cooperates in conciliation proceedings.
16. Miscellaneous
16.1. The contract is governed by Hungarian law, in particular Act V of 2013 on the Civil Code and Act CVIII of 2001 on electronic commerce services.
16.2. The parties settle disputes primarily by negotiation. In disputes between businesses, the court competent for the Provider’s registered address has jurisdiction, subject to subject-matter jurisdiction; consumers may turn to the court competent under the law.
16.3. If any provision of these Terms is invalid, the validity of the other provisions is not affected.
16.4. The Provider may amend these Terms; amendments apply to contracts concluded after they take effect. For ongoing monthly services the Provider gives at least 30 days’ notice by email; if the Client does not accept the amendment, they may terminate free of charge before it takes effect.
16.5. The parties send notices primarily by email to the address given in the contract.

The body competent for the consumer’s place of residence or stay (since 1 January 2024 there are 8 regional bodies in Hungary):
Annex 3 – Data processing terms
This annex is the processing agreement under Article 28 GDPR. It applies where, in performing the contract, the Provider accesses personal data controlled by the Client.
1. Subject and duration. During development, launch, hosting, maintenance, fixes and data migration – for the term of the contract and until return or deletion under point 11 – the Provider may process personal data stored in the Client’s system.
2. Nature and purpose. Storage, access, copying for backup, transformation, migration and deletion – solely to provide the IT services under the contract.
3. Data and data subjects. The personal data the Client processes in the system – typically identification and contact data (name, email, phone), bookings, orders and client records of the Client’s customers, prospects and staff. If the system also processes special categories of data (for example bookings for health services), the parties record this in the quote and the Client ensures the legal basis.
4. Instructions. The Provider processes personal data only on the Client’s written instructions – including transfers to third countries – unless required by law, in which case it informs the Client beforehand unless the law prohibits this. If an instruction appears to infringe the law, the Provider informs the Client without delay.
5. Confidentiality. The Provider ensures that persons accessing the data have committed to confidentiality or are under a statutory obligation of confidentiality.
6. Security. The Provider applies measures under Article 32 GDPR: encrypted connections, access control and strong authentication, least privilege, backups, and – where possible – test data instead of real personal data for development.
7. Sub-processors. The Client gives general authorisation for the use of sub-processors (such as hosting, database and email delivery providers). The Provider informs the Client in advance of any new or replaced sub-processor, and the Client may object. The Provider imposes the same data protection obligations on sub-processors and remains liable for their performance. Services in the Client’s own name (such as the Client’s own hosting contract) are the Client’s processors, not the Provider’s.
8. Data subject requests. The Provider assists the Client with appropriate technical and organisational measures in responding to data subject requests, and forwards any request received directly to the Client without delay.
9. Assistance. Based on the information available to it, the Provider assists the Client in meeting its obligations under Articles 32–36 GDPR (security, breach handling, impact assessment, prior consultation).
10. Personal data breach. The Provider notifies the Client of any breach it becomes aware of without undue delay, where possible within 24 hours, with the information available.
11. End of the contract. At the Client’s choice the Provider returns or deletes the data and deletes existing copies, unless the law requires their retention; data in backups is deleted in the normal backup cycle, within 30 days at most.
12. Audits. The Provider makes available the information needed to demonstrate compliance and allows reasonable audits agreed in advance.
13. International transfers. Only with safeguards under Chapter V GDPR (adequacy decision or Standard Contractual Clauses).
